MariPay is operated by Maripa Tech Agency, Kampala, Uganda. In this document, "we", "us" and "MariPay" mean Maripa Tech Agency and the MariPay platform; "you" means the person or business using it.
01Agreement to these terms
By creating a MariPay account, or by using the MariPay website, dashboard, payment pages or API, you agree to these Terms of Service and to our Privacy Policy. If you are signing up for a business, you confirm that you have the authority to bind that business to these terms.
If you do not agree, please do not use MariPay.
02What MariPay does
MariPay lets a business:
- collect payments from customers by mobile money, using payment links, QR codes, a pay button, a hosted checkout page, or the MariPay API;
- see its payments, balance and activity in a dashboard;
- send payouts to mobile money wallets from its available balance;
- request settlements of its available balance to a bank account; and
- connect its own systems through a REST API and signed webhooks.
We are a technology provider. Mobile money payments are carried out by licensed mobile network operators and payment partners ("Payment Partners"). We are not a bank, and money held in your MariPay balance is not a bank deposit and does not earn interest.
Features can be added, changed or retired over time. Some, such as card payments, are not available yet.
03Your account
- You must be at least 18 and able to enter a binding contract.
- Give us accurate information and keep it up to date, including your business details and contact email.
- Keep your password, sign-in codes and API keys secret. You are responsible for everything done through your account, including by people you add to your team.
- Tell us straight away if you think your account or an API key has been compromised.
- Turn on two-step verification on accounts that can move money. We may require extra checks, such as re-entering your password, for sensitive actions.
Business accounts can have several team members with different roles (for example Owner, Admin, Developer, Finance). Account owners decide who has access and are responsible for removing people who should no longer have it.
04Business verification
To protect you and the mobile money network, we may ask for information and documents about your business and its owners or representatives, and we may refuse, limit or close an account that cannot be verified. We may re-check this information from time to time. Some features, including taking live payments, may stay off until verification is complete.
05Fees
- Collections: 5% of each successful payment you collect. There are no setup fees and no monthly minimums.
- Payouts: rates are tiered by volume and agreed with you. Contact us for the tier that fits your business.
- Dashboard, payment links, QR codes, API, webhooks and test mode are free to use.
Fees are taken from the amount collected and shown as separate entries in your ledger, so you can always see the gross amount, our fee and what you keep. Fees for a payment that fails, expires or is cancelled are not charged. Mobile network charges that apply to your customer, such as withdrawal fees, are set by the network and are separate from ours.
We will give you at least 30 days' notice before changing our fees for existing accounts.
06Collections, balances and settlements
A payment is only successful once the Payment Partner confirms it. Your dashboard and API show each payment's status. Money from successful payments is recorded in your MariPay balance, minus our fee.
Settling to your bank account
You can add a settlement bank account in Settings and request that part or all of your available balance be paid to it. When you request a settlement, that amount is set aside from your balance straight away. Our team then makes the bank transfer and marks the settlement paid with a bank reference, and you are emailed.
- The name on the bank account should match your business. We may reject a settlement if it does not, or if we cannot verify it. A rejected or cancelled settlement returns the full amount to your balance.
- Check your account details carefully. We are not responsible for a transfer sent to the account number you gave us.
- Banks need time to show a transfer, and delays at your bank are outside our control.
- Settlements in test mode are simulated. No money moves.
Holds and corrections
We may delay or hold funds, and correct errors in your balance, where we reasonably suspect fraud or a mistake, where a Payment Partner or the law requires it, or where an amount was credited to you in error. We will tell you why unless the law prevents us.
07Payouts and refunds
You can send payouts to mobile money wallets from your available balance, one at a time or in bulk. You are responsible for the phone numbers and amounts you submit. A payout sent to the wrong number may not be recoverable. Payouts can be set up to need approval from a second team member, and we recommend you do so.
A payout that fails is returned to your balance. Payout limits may apply, set by you in Settings and by us or the Payment Partners. You can refund a customer from the dashboard or API, up to the amount that was paid. Our collection fee on a refunded payment is not returned unless we agree otherwise.
08API, keys and test mode
- Test mode and live mode are separate. Test mode uses a simulator and never moves real money.
- Treat secret API keys like passwords: keep them on your server, never in a website or app that customers can inspect. Rotate a key if it may have been exposed.
- Verify the signature on every webhook before acting on it, and make your handlers safe to run twice.
- Do not exceed rate limits or try to bypass them. We may throttle or block traffic that harms the service.
We do our best to keep the API available and backward compatible, and will give reasonable notice of breaking changes, but we do not promise it will be uninterrupted.
09Acceptable use
You must not use MariPay:
- for anything illegal, or to sell goods or services that are illegal where you or your customers are;
- for fraud, money laundering, terrorist financing, or to evade sanctions;
- to collect payments you are not entitled to, or to charge people without their clear authorisation;
- for pyramid or Ponzi schemes, unlicensed deposit-taking or investment schemes, or unlicensed gambling;
- to attack, probe or overload our systems, or to access accounts or data that are not yours; or
- in a way that breaks the rules of the mobile network operators or our Payment Partners.
You are responsible for what you sell, for delivering it, for handling disputes with your customers, and for your own taxes and licences.
10Suspension and termination
You can close your account at any time by contacting us, once any outstanding payouts and settlements are complete. We may deactivate, disable or close an account, or limit what it can do, if you break these terms, if we reasonably suspect fraud or misuse, if a Payment Partner or the law requires it, or if the account has been inactive for a long period.
When an account is closed, any balance owed to you will be paid out to your verified settlement account after we have taken any fees you owe and any amounts we must hold back. We may keep records as the law requires. Sections that by their nature should continue after closure, such as fees owed, liability and governing law, will continue.
11Our responsibility
We provide MariPay with reasonable care and skill, but we cannot promise it will always be available or error-free. Mobile money networks, banks and other third parties can fail or delay, and we are not responsible for their acts or outages.
To the extent the law allows, we are not liable for indirect or consequential losses such as lost profit, lost sales or loss of goodwill. Our total liability to you for any claim related to the service is limited to the fees you paid us in the three months before the event that caused the claim.
You agree to compensate us for losses and claims caused by your breach of these terms or by what you sell or collect money for, including claims from your customers or authorities.
12Your data
You keep ownership of the information you put into MariPay. We use it to run the service for you, and as described in our Privacy Policy. Where you collect personal information about your customers through MariPay, you are responsible for having a lawful reason to collect it and for telling your customers how you use it.
13Changes to these terms
We may update these terms from time to time. For material changes we will email the address on your account or show a notice in the dashboard, and the new terms will apply from the date stated. If you keep using MariPay after that date, you accept the updated terms. If you disagree, you can close your account before then.
14Governing law
These terms are governed by the laws of the Republic of Uganda. If we cannot resolve a dispute by talking, the courts of Uganda have jurisdiction, unless the law gives you the right to go elsewhere.
If any part of these terms is found to be unenforceable, the rest still applies. If we do not enforce a right straight away, that does not mean we give it up.
